Article V - Board of Directors, 5.4 Election of Officers

5.4.a. All officers provided for in Article V, all Board Members-at-Large and holders of such other offices as the Board sees fit to create, shall be elected by the Chapter during the August general meeting, with the intent of using September as a period of acclimation and adjustment. Officers will formally assume their duties for a two year term beginning October 1st, coinciding with the fiscal year. The board retains the prerogative to appoint people on an acting basis, pending the next August election.

5.4.b. Elections shall be staggered such that the offices of President and Secretary shall be chosen in odd-numbered years, and those of Treasurer and Vice President in even-numbered years. When added to the Board, members-at-large and other officers will be notified which year cycle their term occupies. Members may be added to the Board in an acting capacity, pending the August vote.

5.4.c. All chapter members in good standing, board members, and/or volunteers who have helped staff or prepare at least two official PFLAG events in the previous year, may participate in the August election. This body shall constitute “the Chapter” for purposes of election and ratification as referenced elsewhere in these bylaws.

5.4.d. The Nominations and Elections Committee shall consist of all board members and officers whose terms do not expire in the year the election is held. This committee shall receive nominations from the Chapter. Anyone may be nominated for an office or board membership with their own consent and the support, either at the election meeting or submitted to the committee in writing, of two other qualified voters. The committee shall announce to the meeting all nominees for all positions. Each candidate may address the meeting for up to 5 minutes if they so choose. After the candidates for each position have spoken, they shall leave the room to allow candid discussion.

5.4.e. In the event more than two candidates are seeking the same office, elections will be conducted by Approval Voting. A majority of votes cast is necessary to win.

5.4.f. Elections to the Board shall be on a proportional basis, likewise conducted via approval voting. The nominating committee may decide how many seats are to be filled. The top X finishers will be seated where X is the number of seats available.
