Position Descriptions

General Duties and Responsibilities of the Board

The PFLAG Washburn-Chequamegon Bay Chapter (Chapter) shall be governed by a Board of Directors, consisting of the President, Vice President, Secretary, Treasurer, and members-at-large. Each of the board of directors shall be a general member of the Chapter in good standing. Board members should be representative of the larger membership with the intent to have diverse and inclusive representation on the board.

  • Serve a minimum of 2-year term, with potential to extend and/or serve as an officer.

    • Term limits: No officer of the Chapter may serve more than three consecutive two-year terms in the same position. No officer or other board member may serve on the board for more than ten years.

  • Set organizational policies, establish, and implement the Chapter’s strategic plan.

  • Review agenda and supporting materials prior to board and committee meetings.

  • Attends and supports board meetings, events, and other PFLAG activities.

  • Approve the Chapter’s annual budget, audit reports, and material business decisions; being informed of, and meeting all fiduciary responsibilities.

  • Stay informed and conscientiously participate in the decisions of the board.

  • Assist in identifying and recruiting other board and organization members.

  • Ensure the commitment to a diverse and inclusive board that reflects the community the Chapter serves.

  • Serve on committees or task forces and take on special assignments, as needed.

  • Assists in developmental activities, fundraising, and seeking out corporate sponsors.

  • Take leadership and responsibility for carrying out individual assignments.

  • Act in the best interests of the organization. Understand and abide by PFLAG’s confidentiality and non-partisan policy.

  • Disclose potential conflicts of interest and excusing themselves from discussions and votes where conflict of interest exists.

  • Maintain the confidentiality of board deliberations and publicly support the decisions of the board, including where there may have been disagreement.

  • Be respectful and promote unity. Encourage, enable, and support the participation and contributions of other board members. Listen to and consider differing perspectives.

  • Become knowledgeable of PFLAG culture and positively represent PFLAG in the community.

  • Promote membership growth and diversity; identify and mentor new leaders and volunteers.


  • Commitment: 10-15 hours per month, may be more for Pride Month or special events.

  • Presides over board meetings and casts votes as a member of the board, though not in votes of general membership.

  • Works with the Board of Directors to establish board meeting agenda and objectives.

  • Leads board of directors in determining strategic direction and planning.

  • Participates in all key decisions.

  • Public face of the Chapter - first choice to present at community meetings.

  • Facilitates “Third Thursday” meetings.

  • Ensures the board and committee members schedule and facilitate ongoing PFLAG events focusing on education, advocacy and community building.

  • Signatory on public records and financial accounts.

  • Bears primary responsibility for the smooth functioning of board meetings and for comity between board members.

  • Acts as the primary mediator, or designates a proxy, in board member disputes or conflicts.

  • Communicates with PFLAG National.

President


  • Commitment: 10-15 hours per month, may be more for Pride Month or special events.

  • Assists the President and provides institutional knowledge.

  • Presides over board meetings when the President is unavailable.

  • Works with the President and the board of directors to establish board meeting agenda and objectives.

Vice President


  • Commitment: 10-15 hours per month, may be more for Pride Month or special events.

  • Formalizes meeting agenda and takes minutes at meetings.

  • Keeps a record of all formal communications and a book of minutes of all meetings of the board.

  • Oversees the maintenance of the Chapter’s Google Workspace and associated tools.

  • Serves as the file custodian and manages the documents in the Chapter’s corporate file, both physical and electronic.

  • Certifies and keeps the official Chapter Bylaws up-to-date and facilitates an annual review by the board.

  • Assists with writing and disseminating official letters on behalf of the Chapter.

  • Maintains the Chapter’s member mailing lists and coordinates correspondence, both hard copy and electronic.

  • Maintains an up-to-date inventory of the Chapter’s property and equipment.

  • Working with the Treasurer, maintains the Chapter’s membership database and completes required annual reporting responsibilities to PFLAG National.

Secretary


  • Commitment: 10-15 hours per month, may be more for Pride Month, special events, and tax season.

  • Creates and maintains the Chapter’s financial statement(s); maintaining accounts, paying bills, monitoring cash flow, and reconciling monthly bank statements.

  • Files required annual IRS and State forms, including 990-N, by due dates.

  • Provides monthly treasurer’s report at board meetings.

  • Leads the board in the establishment and approval of an annual budget.

  • Serves as the signatory on financial accounts.

  • Tracks membership fees and donations.

  • Working with the Secretary, maintains the Chapter’s membership database and completes required annual reporting responsibilities to PFLAG National.

  • Uses QuickBooks software in accordance with nonprofit best practices.

  • Provides oversight when applying for, accepting, and tracking the use of grants and outside funding. This includes funds given for annual scholarships.

Treasurer


Board Member-AT-LARGE

  • Commitment: 5-10 hours per month, may be more for Pride Month or special events.

  • Attends board meetings and Chapter lead or sponsored events.

  • Provides ‘Wealth, Wisdom, or Work” (at least one).

  • Reads and actively participates in votes and conversations.

  • Serves as liaison and facilitates communication between the board and Chapter members.

  • Assists the officers in carrying out the work of the Chapter.

  • Contributes to at least one area of opportunity supporting overall board function (Communications, Development, Event Planning, or Membership - see below for more details).
